CreShare Eindgebruiker Licentie Overeenkomst

Deze Licentieovereenkomst voor eindgebruikers (hierna te noemen de “Overeenkomst”) is tussen u, een natuurlijk persoon en Creshare, een Nederlands bedrijf dat gespecialiseerd is in innovatie op afstand door het ontwikkelen van gereedschappen voor het grenzeloos vertellen van verhalen, het verbinden van ideeën en mensen, en het faciliteren van een wereldwijde co-creatie met innovators wereldwijd; voor het gebruik van onze mobiele applicatie.

Om toegang te krijgen tot deze Overeenkomst en deze te ondertekenen, moet u 16 jaar of ouder zijn, anders moet uw ouders of voogd ermee instemmen deze Overeenkomst te ondertekenen. Lees deze Overeenkomst voordat u onze mobiele applicatie gebruikt. Uw gebruik van onze mobiele applicatie of het downloaden van de update wordt beschouwd als uw aanvaarding van de voorwaarden en verplichtingen die in deze overeenkomst worden genoemd. Anders verzoeken we u vriendelijk om geen van onze mobiele applicaties te gebruiken of updates te downloaden.

 

Deze Overeenkomst, inclusief eventuele aanvullende voorwaarden, is tussen u en Creshare en regelt het gebruik van onze Mobiele Applicatie. De ingangsdatum van deze Overeenkomst is de datum waarop u akkoord bent gegaan met deze Overeenkomst.

 

DEFINITIE

GELIEERDE ONDERNEMINGEN betekent elke entiteit, persoon, firma of onderneming, direct of indirect, via een of meer tussenpersonen, die zeggenschap heeft over, gecontroleerd wordt door of onder gemeenschappelijke controle staat met Creshare.

AFGELEIDE WERKEN betekent elke waardetoevoeging, verbetering, wijziging, condensatie, transformatie, uitbreiding of elke verandering in welke vorm dan ook aan de Mobiele Applicatie in een poging om de genoemde Mobiele Applicatie te herschikken, aan te passen of over te dragen, die, indien gebruikt zonder de toestemming van Creshare zou een schending van intellectueel eigendomsrecht inhouden.

PARTNERS betekent distributeurs en/of wederverkopers die door Creshare of haar distributeurs zijn gemachtigd om de Mobiele Applicatie of een co-branded versie van de Mobiele Applicatie door te verkopen die door Creshare is geautoriseerd.

KLANTEN betekent elke rechtspersoon, persoon, firma of onderneming die het recht heeft om onze aangepaste versie van onze mobiele applicatie te gebruiken en dus alle diensten die met behulp van de versie zijn geproduceerd. 

 

LICENTIE OM DE MOBIELE APPLICATIE TE GEBRUIKEN 

Onder voorbehoud van de voorwaarden van deze Overeenkomst, verleent Creshare u een niet-exclusieve, niet-overdraagbare en herroepbare licentie om de Mobiele Applicatie te gebruiken zoals toegestaan ​​door deze Overeenkomst, uitsluitend voor uw persoonlijk en niet-commercieel gebruik. De Mobiele Applicatie mag niet voor andere doeleinden worden gebruikt. Het is u niet toegestaan ​​de Mobiele Applicatie geheel of gedeeltelijk te leasen, te verhuren, in sublicentie te geven, te publiceren, te kopiëren, te wijzigen, aan te passen, te vertalen, te reverse-engineeren, te decompileren of te demonteren zonder onze voorafgaande schriftelijke toestemming of tenzij uitdrukkelijk anders is toegestaan ​​door de toepasselijke wetgeving.

 

BEPERKING VAN GEBRUIK

1.    Zonder onze voorafgaande schriftelijke toestemming mag u onze technologie of ons intellectueel eigendom niet gebruiken voor het ontwikkelen van applicaties of het ontwerpen, ontwikkelen, produceren, verkopen of licentiëren van apparaten/accessoires van derden die verband houden met onze mobiele applicatie. 

2.    Zonder onze voorafgaande schriftelijke toestemming mag u de gehele of een deel van de mobiele applicatie niet verkopen, verhuren, leasen, uitlenen, in sublicentie geven of distribueren aan derden.

3.    Tenzij uitdrukkelijk anders is toegestaan, mag u de Mobiele Applicatie niet kopiëren, reverse-engineeren, decompileren, demonteren of er afgeleide werken van maken, noch toestaan ​​dat iemand anders deze kopieert Dit omvat ook de export van broncode, decodering of wijziging van de Mobiele Applicatie of software en de diensten die worden geleverd door onze Mobiele Applicatie.  

4.    U mag op geen enkel moment enig handelsmerk, logo, pictogram, afbeelding of tekst die de naam van Creshare of een afgeleide daarvan vertegenwoordigt, verwijderen, verwijderen, verbergen, verplaatsen of wijzigen. Alle representaties van de naam, het logo of een ander merk van Creshare of de namen of merken van Creshare moeten blijven zoals oorspronkelijk gedistribueerd, ongeacht de aanwezigheid of afwezigheid van een handelsmerk, copyright of ander symbool of kennisgeving van intellectueel eigendom.  

 

PERSOONLIJKE GEGEVENS EN PRIVACY

Onze mobiele applicatie heeft twee versies, de gratis versie en de aangepaste versie, waarbij ons privacybeleid tot op zekere hoogte regelt:

1.    In de gratis versie van onze mobiele applicatie bewaren we uw persoonlijke gegevens niet langer dan nodig is om uw feedback tijdens het gebruik van onze mobiele applicatie op te volgen, wat betekent dat tegen de tijd dat u onze applicatie niet meer gebruikt, uw persoonlijke gegevens alleen op uw apparaat opgeslagen en kan worden verwijderd door de caches te wissen.

2.    In onze aangepaste versie hebben we aangepaste sjablonen die bedoeld zijn voor onze KLANT via de mobiele applicatie, waarbij onze KLANT het recht heeft om onze technologie te gebruiken om producten te creëren die specifiek zijn voor hun zakelijke doeleinden. Ze kunnen uw persoonlijke gegevens bewaren met uw toestemming die u hebt gegeven door akkoord te gaan met deze overeenkomst.

 

AUTEURSRECHT EN INTELLECTUELE EIGENDOMSRECHTEN

Alle titels, eigendomsrechten en intellectuele eigendomsrechten in en op de Mobiele Applicatie alle teksten, afbeeldingen, muziek of geluiden, alle berichten of informatie, fictieve personages, namen, thema’s, objecten, decors, kostuums, effecten, dialogen, slogans, plaatsen, personages, diagrammen, concepten, choreografieën, video’s, audiovisuele effecten, domeinnaam en alle andere elementen die deel uitmaken van de Mobiele Applicatie en alle kopieën daarvan zijn eigendom van Creshare De Mobiele Applicatie wordt beschermd door nationale en internationale wetten, auteursrechtverdragen en -conventies en andere wetten. Deze mobiele applicatie kan bepaalde gelicentieerde materialen bevatten en in dat geval kunnen we hun rechten beschermen in geval van schending van deze overeenkomst. Elke reproductie of weergave van dit gelicentieerde materiaal, op welke manier dan ook en om welke reden dan ook, is verboden zonder de voorafgaande schriftelijke toestemming van Creshare . Behalve zoals uitdrukkelijk uiteengezet in deze Overeenkomst, worden alle rechten die hieronder niet aan u worden verleend, uitdrukkelijk voorbehouden door Creshare .    

U behoudt zich het eigendom voor van Inhoud en het auteursrecht dat door u is gecreëerd met behulp van de Mobiele Applicatie. In onze aangepaste versie wordt de inhoud opgeslagen in de opslag van een derde partij en door akkoord te gaan met deze overeenkomst geeft u toestemming om afstand te doen van uw recht op het auteursrecht van de inhoud die onze KLANT kan gebruiken voor hun zakelijke doeleinden.

 

 

 

BEPERKTE GARANTIE EN DISCLAIMERS 

U ERKENT UITDRUKKELIJK DAT HET GEBRUIK VAN HET PRODUCT OP EIGEN RISICO IS..

 

BEPERKING VAN DE AANSPRAKELIJKHEID

VOOR ZOVER DE TOEPASSELIJKE WETGEVING, BEHALVE DE AANSPRAKELIJKHEID VOOR DE GEVOLGEN VAN OPZETTELIJKE OPLOSSING OF GROTE NALATIGHEID EN PRODUCTAANSPRAKELIJKHEID, IS CRESHARE NIET AANSPRAKELIJK VOOR BIJZONDERE, INCIDENTELE OF GEVOLGSCHADE OF GEVOLGSCHADE ALS GEVOLG VAN UITVOERING INCLUSIEF MAAR NIET BEPERKT TOT SCHADE AAN EIGENDOMMEN, VERLIES VAN GOODWILL OF ENIGE ANDERE STORING OF STORING. VOOR ZOVER TOEGESTAAN DOOR DE TOEPASSELIJKE WETGEVING, schadevergoeding wegens lichamelijk letsel, materiële schade of VERLIES VAN WINST VOOR HOGE SCHADEVERGOEDING ALS GEVOLG VAN ENIGE ACTIE ALS GEVOLG VAN OF IN VERBAND MET DEZE OVEREENKOMST OF HET GEBRUIK VAN de mobiele applicatie hetzij in onrechtmatige daad, contract STRIKTE AANSPRAKELIJKHEID OF ANDERSZINS, ONGEACHT OF CRESHARE OP DE HOOGTE IS GESTELD VAN DE MOGELIJKHEID VAN DERGELIJKE SCHADE, VOOR ZOVER DE TOEPASSELIJKE WETGEVING, IS CRESHARE’S AANSPRAKELIJKHEID VOOR ALLE SCHADE NIET (BEHALVE ZOALS DIT WETTELIJK VEREIST) ALLE) VOOR GEBRUIK VAN DE MOBIELE APPLICATIE.

 

BEINDIGING

1.    Deze Overeenkomst en de hieronder verleende licenties blijven van kracht totdat ze door een van de partijen worden beëindigd. U kunt deze Overeenkomst op elk moment beëindigen wanneer u onze mobiele applicatie van uw apparaat verwijdert.

2.    Creshare kan deze Overeenkomst op elk moment zonder voorafgaande kennisgeving beëindigen als u zich niet houdt aan de voorwaarden van deze Overeenkomst. Zodra deze Overeenkomst is beëindigd, stopt u met het gebruik van de Mobiele Applicatie en verwijdert u al het bijbehorende materiaal.

3.    De clausules met betrekking tot Auteursrechten en Intellectuele Eigendomsrechten blijven ook na beëindiging van de Overeenkomst door beide partijen van kracht. 

 

JURISDICTIE EN TOEPASSELIJKE WETTEN

Deze Overeenkomst is aangegaan in Nederland en wordt beheerst door en geïnterpreteerd in overeenstemming met de wetten van Nederland. 

Alle geschillen die ontstaan ​​in verband met deze Overeenkomst, of nadere overeenkomsten die daaruit voortvloeien, zullen worden beslecht overeenkomstig het Arbitragereglement van het Nederlands Arbitrage Instituut.

 

 

ALGEMENE BEPALINGEN 

1.    Geen van beide partijen mag deze Overeenkomst of enig recht of verplichting hieronder overdragen zonder de voorafgaande schriftelijke toestemming van de andere partij. Creshare kan deze Overeenkomst echter overdragen in het geval van een fusie of consolidatie of aankoop van alle of vrijwel alle activa en u hiervan op de hoogte stellen door een kennisgeving in updates te sturen. Deze Overeenkomst is bindend voor en komt ten goede aan de toegestane opvolgers en rechtverkrijgenden van elke partij.

2.    Creshare kan niet verantwoordelijk worden gehouden voor storingen, vertragingen of onderbrekingen veroorzaakt door omstandigheden buiten haar macht, zoals netwerkstoringen, storingen in de netwerkverbinding, aardbevingen, overstromingen, stakingen, embargo’s of overheidshandelingen. Als een dergelijke gebeurtenis die aanleiding geeft tot overmacht langer dan zeven werkdagen duurt, kan elke partij deze overeenkomst beëindigen zonder dat een dergelijke beëindiging aanleiding geeft tot enige aansprakelijkheid of recht op restitutie.

3.    Deze Overeenkomst vormt de volledige overeenkomst tussen de partijen en vervangt alle schriftelijke of mondelinge eerdere overeenkomsten of afspraken tussen de partijen. 

4.    Als een bepaling van deze Overeenkomst door een bevoegde rechtbank onwettig of niet-afdwingbaar wordt verklaard, wordt een dergelijke bepaling geacht te zijn gescheiden van de overige bepalingen van deze Overeenkomst en zal deze de geldigheid of afdwingbaarheid van de resterende bepaling van deze Overeenkomst niet beïnvloeden of aantasten. 

5.    Geen enkele verklaring van afstand van een van de partijen om haar rechten onder deze Overeenkomst uit te oefenen of af te dwingen, geldt als een verklaring van afstand van die rechten. 

6.    Elke partij zal zijn en optreden als een onafhankelijke entiteit en niet als een agent of partner van, of joint venture met de andere partij, en geen van de partijen zal enig recht, bevoegdheid of gezag hebben om te handelen of enige verplichting te creëren, expliciet of impliciet, op namens de andere partij. 

7.    Door deze Overeenkomst te accepteren, erkent u en stemt u ermee in onze algemene voorwaarden, inclusief deze Overeenkomst, van tijd tot tijd te herzien en behouden wij ons het recht voor om deze Overeenkomst zonder voorafgaande kennisgeving te wijzigen. Als er materiële wijzigingen zijn in deze Overeenkomst (of andere wijzigingen in onze algemene voorwaarden), kunnen we u hiervan op de hoogte stellen door middel van een kennisgeving die toegankelijk is via uw gebruik van onze mobiele applicatie.

 

 

CreShare Privacy beleid

Wij, Creshare, zijn een Nederlands bedrijf dat gespecialiseerd is in innovatie op afstand door het ontwikkelen van gereedschappen voor grenzeloze storytelling, het verbinden van ideeën en mensen, en het faciliteren van een wereldwijde co-creatie met innovators over de hele wereld. 

 

Bij het doen van onze zaken respecteren wij uw privacy. Het is onze bedoeling om ervoor te zorgen dat uw vertrouwen in ons met betrekking tot uw persoonlijke gegevens en de vlotte en naadloze ervaring bij het gebruik van onze mobiele applicatie of de toegang tot onze website in harmonie kunnen verlopen. Daarom is het doel van ons privacybeleid om u te informeren over het soort gegevens dat we van u verzamelen (we verzamelen de minimale gegevens van u), hoe we deze gaan gebruiken en opslaan, evenals uw rechten met betrekking tot de gegevens die u deelt met ons. Bij het opstellen van dit privacybeleid houden we ons aan de richtlijn die is vastgelegd in de Algemene Verordening Gegevensbescherming 2016/679.

Hoe verzamelen we de gegevens?

Wij bij Creshare erkennen en respecteren intellectuele eigendomsrechten en zijn toegewijd aan het nakomen van onze morele en wettelijke verplichtingen met betrekking tot ons gebruik van auteursrechtelijk beschermde werken. Het is onderdeel van ons beleid om te reageren op elke melding dat inhoud die is geplaatst op of gelinkt in onze Applicatie inbreuk maakt op de auteursrechten van anderen in overeenstemming met de Nederlandse Auteurswet. 

Claims van inbreuk op het auteursrecht zullen worden onderzocht en passende maatregelen zullen worden genomen, inclusief maar niet beperkt tot het verwijderen van inbreukmakende inhoud en beëindiging van de gebruikerstoegang, indien van toepassing. 

Hieronder volgen de procedures om ons op de hoogte te stellen van een auteursrechtklacht en verdere juridische stappen:

Creshare op de hoogte stellen van een auteursrechtklacht

Als u een auteursrechteigenaar bent, of gemachtigd bent om namens iemand op te treden, of gemachtigd bent om te handelen onder enig exclusief recht onder auteursrecht, meld dan vermeende inbreuken op het auteursrecht die plaatsvinden op of via de mobiele applicatie door de volgende kennisgeving van vermeende inbreuk in te vullen en bezorg het aan onze juridische afdeling met de volgende details:

Een dergelijke kennisgeving moet het volgende bevatten: 

1. Een fysieke of elektronische handtekening van de eigenaar van het auteursrecht of geautoriseerd personeel om namens de eigenaar van het auteursrecht op te treden. Voor geautoriseerd personeel dat optreedt namens de eigenaar van het auteursrecht, zou het ook vereist zijn om een ​​volmacht op te nemen die u machtigt om een ​​dergelijke kennisgeving uit te voeren.

2. Het identificeren van het auteursrechtelijk beschermde werk waarvan u beweert dat het is geschonden, of – als meerdere auteursrechtelijk beschermde werken onder deze kennisgeving vallen – kunt u een representatieve lijst verstrekken van de auteursrechtelijk beschermde werken waarvan u beweert dat er inbreuk is gemaakt.

3. Identificatie van het materiaal waarvan u beweert dat het inbreuk maakt (of het onderwerp is van inbreukmakende activiteiten) en dat moet worden verwijderd of waarvan de toegang moet worden uitgeschakeld, en informatie die redelijkerwijs voldoende is om ons in staat te stellen het materiaal te lokaliseren, inclusief op een minimaal, indien van toepassing, de screenshots op de Mobiele Applicatie waar dergelijk materiaal kan worden gevonden.

4. Geef uw postadres, telefoonnummer en, indien beschikbaar, e-mailadres op zodat wij contact met u kunnen opnemen.

5. Neem beide van de volgende verklaringen op in de hoofdtekst van de kennisgeving:

A. “Hierbij verklaar ik dat ik te goeder trouw van mening ben dat het betwiste gebruik van het auteursrechtelijk beschermde materiaal niet is geautoriseerd door de eigenaar van het auteursrecht, zijn agent of de wet.”

B. “Hierbij verklaar ik dat de informatie in deze Verklaring nauwkeurig is en, op straffe van meineed, dat ik de eigenaar ben van, of gemachtigd ben om namens de eigenaar op te treden, van het auteursrecht of van een exclusief recht onder het auteursrecht waarop vermeend inbreuk wordt gemaakt .”

6. Geef uw volledige wettelijke naam en uw elektronische of fysieke handtekening op.

Na ontvangst van de Kennisgeving zoals hieronder beschreven, zal Creshare naar eigen goeddunken elke actie ondernemen die zij passend acht, inclusief het verwijderen van het aangevochten materiaal van de Mobiele Applicatie. 

Verdere juridische stappen

Indien Creshare na zorgvuldig onderzoek en naar eigen goeddunken van mening is dat een dergelijke bewering ongegrond is, kan Creshare contact met u opnemen om te informeren dat er geen actie wordt ondernomen. Na een dergelijk antwoord kunt u verdere juridische stappen ondernemen als dit nodig wordt geacht en in overeenstemming met de Nederlandse Auteurswet. 

CreShare User License Agreement

This End User Licensing Agreement (hereinafter referred to as the “Agreement”) is between you, a natural person and Creshare, a Dutch company specializes in distance innovation by cultivating tools for borderless storytelling, broking of ideas and people, and the facilitation of a global co-creation with innovators worldwide; for the use of our Mobile Application. 

To access and sign this Agreement you must have reached the legal age for the legal jurisdiction you reside in, otherwise your guardian must agree to sign this Agreement. Please read this Agreement before you use our Mobile Application. Your use of our Mobile Application or download the update will be deemed as your acceptance of the constraints mentioned in this Agreement. Otherwise, kindly refrain from using any of our Mobile Application or download any updates.

 

This Agreement, including any supplemental terms is between you and Creshare and governs the use of our Mobile Application. The effective date of this Agreement is the date you agreed to this Agreement.

 

DEFINITION

AFFILIATES shall mean any entity, individual, firm, or corporation, directly or indirectly, through one or more intermediaries, controlling, controlled by, or under common control with Creshare.

DERIVATIVE WORKS shall mean any value addition, enhancement, modification, condensation, transformation, expansion, or any change in any form to the Mobile Application in a bid to recast, adapt or transfer the said Mobile Application, which, if used without the consent of Creshare would constitute an intellectual property right violation.

PARTNERS shall mean distributors and/or resellers authorized by Creshare or its distributors to resell the Mobile Application or a co-branded version of the Mobile Application authorized by Creshare.

CLIENTS shall mean any legal entity, individual, firm, or corporation, that has the right to use our Mobile Application Customised version and therefore any of services produced using the version. 

 

LICENSE TO USE THE MOBILE APPLICATION 

Subject to the terms of this Agreement, Creshare grants to you a nonexclusive, non-transferable, and revocable license to use the Mobile Application as permitted by this Agreement solely for your personal and non-commercial use. The Mobile Application cannot be used for any other purpose. You are not permitted to lease, rent, sublicense, publish, copy, modify, adapt, translate, reverse engineer, decompile or disassemble all or a portion of the Mobile Application without our prior written consent or unless otherwise expressly permitted by the applicable law. 

 

LIMITATION OF USE

1. Without our prior written consent, you may not use our technology or our intellectual property to develop application or design, develop, manufacture, sell or license third-party devices/accessories associated with our Mobile Application. 

2. Without our prior written permission, you may not sell, rent, lease, lend, sublicense or distribute the entirety or part of the Mobile Application to any third party. 

3. Except as otherwise expressly permitted, you shall not, nor allow any other person to copy, reverse engineer, decompile, disassemble or create derivative work of the Mobile Application.  This is also including the export of source code, decoding or modification of the Mobile Application or software and the services that provided by our Mobile Application. 

4. At any time, you shall not delete, remove, hide, move, or alter any trademark, logo, icon, image or text that represents Creshare’s name or any derivation of these.  All representation of Creshare’s name, logo or other mark or any of its affiliates names or marks must remain as originally distributed regardless of the presence or absence of a trademark, copyright, or other intellectual property symbol or notice. 

 

PERSONAL DATA AND PRIVACY

Our Mobile Application has two versions, the Free version and the Customized version, whereby our Privacy Policy regulates to certain extend:

1. In the Free version of our Mobile Application we do not store your data which means that by the time you are done using our application your data will be stored only on your device and can be deleted by clearing the caches.

2. In our Customized version we have customized templates purported for our CLIENT through Mobile Application, whereby our CLIENT has the right to use our technology to create product specifically for their business purposes. They may retain your personal data upon your consent. 

 

COPYRIGHT AND INTELLECTUAL PROPERTY RIGHTS

All title, ownership rights and intellectual property rights in and to the Mobile Application  all text, graphics, music or sounds, all messages or items of information, fictional characters, names, themes, objects, scenery, costumes, effects, dialogues, slogans, places, characters, diagrams, concepts, choreographies, videos, audio-visual effects, domain name and any other elements which are part of the Mobile Application and any all copies thereof  are owned by Creshare. The Mobile Application is protected by national and international laws, copyright treaties and conventions and other laws. This Mobile Application may contain certain licensed materials and, in that event, we may protect their rights in case of any violation of this Agreement. Any reproduction or representation of these licensed material in any way and for any reason is prohibited without Creshare’s prior written permission. Except as expressly set forth in this Agreement, all rights not granted hereunder to you are expressly reserved by Creshare. 

 

LIMITED WARRANTY AND DISCLAIMERS 

YOU EXPRESSLY ACKNOWLEDGE THAT USE OF THE PRODUCT IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE PRODUCT IS SUPPLIED ON AN ‘AS IS’ AND ‘AS AVAILABLE’ BASIS. CRESHARE, AFFILIATES, CLIENTS, CHANNEL PARTNERS AND ASSOCIATED PARTNERS, COPYRIGHT HOLDERS DO NOT MAKE AND HEREBY DISCLAIM ANY GUARANTEES, CONDITIONS, WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED OR STATUTORY OR OTHER TERMS INCLUDING BUT NOT LIMITED TO QUALITY, FITNESS FOR A PURPOSE, ACCURACY, CORRECTNESS, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTIES, RELIABILITY AND SECURITY. 

 

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT OF APPLICABLE LAW, EXCEPT FOR THE LIABILITY FOR THE CONSEQUENCES OF WILFULL INTENT OR GROSS NEGLIGENCE AND PRODUCT LIABILITY, CRESHARE SHALL NOT BE LIABLE FOR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES RESULTING FROM POSSESSION, USE, OR MALFUNCTION OF THE MOBILE APPLICATION, INCLUDING BUT NOT LIMITED TO, DAMAGES TO PROPERTY, LOSS OF GOODWILL OR ANY OTHER MALFUNCTION OR FAILURE. TO THE EXTENT PERMITTED BY APPLICABLE LAW, DAMAGES FOR PERSONAL INJURIES , PROPERTY DAMAGE, OR LOST PROFITS FOR PUNITIVE DAMAGES FROM ANY CAUSES OF ACTION ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE MOBILE APPLICATION, WHETHER ARISING IN TORT, CONTRACT, STRICT LIABILITY OR OTHERWISE, WHETHER OR NOT CRESHARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, TO THE FULLEST EXTENT OF APPLICABLE LAW, CRESHARE’S LIABILITY FOR ALL DAMAGES SHALL NOT (EXCEPT AS REQUIRED BY LAW) EXCEED THE ACTUAL PRICE PAID BY YOU (IF ANY) FOR USE OF THE MOBILE APPLICATION. 

 

TERMINATION AND ONGOING EFFECTIVENESS

1. This Agreement and the licenses granted hereunder shall remain in effect until terminated by either party. You may terminate this Agreement at any time you uninstall our Mobile Application from your device.

2. Creshare can terminate this Agreement at any time without notice if you fail to comply with any terms or conditions of this Agreement. Once this Agreement has been terminated, you shall stop using the Mobile Application and delete all the associated materials.

3. The clauses regarding Copyrights and Intellectual Property Rights shall remain effective even after the termination of the Agreement by either parties. 

 

JURISDICTION AND GOVERNING LAWS

This Agreement is entered into in the Netherlands and shall be governed by, and construed in accordance with, the laws of the Netherlands. 

All disputes arising in connection with the present Agreement, or further agreements resulting therefrom, shall be settled in accordance with the Arbitration Rules of the Netherlands Arbitration Institute.

 

 

GENERAL PROVISIONS 

1. Neither party may assign this Agreement or any right or obligation hereunder without the other party’s prior written consent. However, Creshare may assign this Agreement in the event of a merger or consolidation or purchase of all or substantially all of its assets and notify you by sending notification in updates. This Agreement will be binding upon and inure to the benefit of the permitted successors and assigns of each party. 

2. Creshare will not be held responsible for any failure, delay or interruption caused by circumstances outside its control, such as network failure, network connection failure, earthquake, flooding, strikes, embargos or acts of government. If such an event giving rise to Force Majeure lasts for more than seven working days, then either party may terminate this Agreement without such termination giving rise to any liability or right to any refund. 

3. This Agreement constitutes the entire agreement between the parties and supersedes all written or oral prior agreements or understandings between the parties. 

4. If any provision of this Agreement is held illegal or unenforceable by any court of competent jurisdiction, such provision shall be deemed severed from the remaining provisions of this Agreement and shall not affect or impair the validity or enforceability of the remaining provision of this Agreement. 

5. No waiver of either party to exercise or enforce any of its rights under this Agreement will act as a waiver of those rights. 

6. Each party will be and act as an independent entity and not as an agent or partner of, or joint venture with the other party, and neither party will have any right, power or authority to act or create any obligation, express or implied, on behalf of the other party. 

7. By accepting this Agreement you acknowledge and agree to review our terms and conditions including this Agreement from time to time and we reserve the right to change this Agreement without notice. Should there be any material changes to this Agreement (or any other changes in our terms and conditions) we may notify you by issuing notification accessible through your use of our Mobile Application.

 

CreShare copyright policy

CRESHARE COPYRIGHTS POLICY

 

We at Creshare recognize and respect intellectual property rights and are committed to fulfilling our moral and legal obligations with respect to our use of copyright-protected works. It is part of our policy to respond to any notice that content posted on or linked in our Application infringes the copyrights of others in accordance with the Dutch Copyrights Act (Auteurswet). 

Claims of copyright infringement shall be investigated and appropriate actions shall be taken, including but not limited to removal of infringing content and termination of user access, if applicable. 

 

The followings are the procedures for notifying us of a copyright complaint and further legal actions:

If you are a copyright owner, or are authorized to act on behalf of one, or authorized to act under any exclusive right under copyright, please report alleged copyright infringements taking place on or through the Mobile Application by completing the following Notice of Alleged Infringement and delivering it to our Legal Department with details as the following:

Such Notice should include: 

1. A physical or electronic signature of the copyright owner or an authorized personnel to act on behalf of the copyright owner. For an authorized personnel who acts on behalf of the copyright owner it would be required also to include power of attorney that mandated you for carrying out such Notice.

2. Identifying the copyrighted work that you claim has been infringed, or – if multiple copyrighted works are covered by this Notice – you may provide a representative list of the copyrighted works that you claim have been infringed.

3. Identifying the material that you claim is infringing (or to be the subject of infringing activity) and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material, including at a minimum, if applicable, the screenshots on the Mobile Application where such material may be found.

4. Provide your mailing address, telephone number, and, if available, email address for us to contact you.

5. Include both of the following statements in the body of the Notice:

a. “I hereby state that I have a good faith belief that the disputed use of the copyrighted material is not authorized by the copyright owner, its agent, or the law.”

b. “I hereby state that the information in this Notice is accurate and, under penalty of perjury, that I am the owner, or authorized to act on behalf of the owner, of the copyright or of an exclusive right under the copyright that is allegedly infringed.”

6. Provide your full legal name and your electronic or physical signature.

Upon receipt of the Notice as described below, Creshare will take whatever action, in its sole discretion, as it deems appropriate, including removal of the challenged material from the Mobile Application. 

 

Further Legal Actions

If after careful investigation and in its sole discretions, Creshare finds such allegation is unfounded Creshare may contact you to inform its non-action. Upon such reply you may take further legal actions as deemed necessary and according to Dutch Copyrights Act.
